Terms of Service

1. Acceptance of Terms

By accessing or using dm2.chat ("the Service"), operated by Udgam Labs LLP ("we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service.

2. Description of Service

dm2.chat is a platform that enables users to receive and respond to paid messages. Users can set their own price for messages, and message senders pay using credits purchased through our platform.

3. User Accounts

• You must provide accurate and complete information when creating an account.
• You are responsible for maintaining the security of your account.
• You must be at least 18 years old to use this Service.
• One person may only maintain one account.

4. Credits and Payments

Credits are prepaid access to send paid messages on dm2.chat. They are not cash, not a wallet, not transferable, and not withdrawable by the buyer.

• 1 credit = ₹1. Packs: ₹100, ₹500, ₹2,500, ₹10,000.
• Credits are valid 12 months from the purchase that created them. Oldest unused credits are used first (FIFO).
• Once a purchase has landed (credits on the account), there is no cash refund.
• Checkout today is India-only UPI via Razorpay. See our Shipping Policy and Cancellation and Refunds.

If Razorpay or we need to re-check a payment, we will do that once and apply the result to your account. This is not a second refund path.

Payouts

• For eligible paid messages sent under the Creator Share policy, you earn 70% of the message face value when you reply within the reply period. The platform keeps 30% and bears its applicable taxes and payment-processing costs from that share.
• Payouts are paid by hand to the UPI ID on your account after review. We may make deductions where legally required and supported by the applicable record.
• Balances earned under an earlier payout policy keep that policy's disclosed platform-fee treatment; the Creator Share policy does not add a second platform fee to the 70% entitlement.
• You may request a payout when the amount available for payout is ₹100 or more.
• At least 7 days must pass between requests.
• Only one open request is allowed at a time.
• Payouts are not instant or automated. We do not promise weekly UPI.

5. 72-Hour Reply Guarantee

Recipients have 72 hours to reply to paid messages. If the recipient does not reply in 72 hours, the sender gets those credits back. That is a credit return, not a cash refund. Credits sitting in an open 72-hour message are not treated as expired.

6. Prohibited Content

You agree not to use the Service to:

• Send spam, harassment, or abusive content
• Share illegal, harmful, or offensive material
• Impersonate others or misrepresent your identity
• Violate any applicable laws or regulations
• Attempt to circumvent or manipulate the platform's features

7. Intellectual Property

The Service and its original content, features, and functionality are owned by Udgam Labs LLP and are protected by international copyright, trademark, and other intellectual property laws.

8. Limitation of Liability

To the maximum extent permitted by law, Udgam Labs LLP shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of the Service.

9. Termination

We reserve the right to terminate or suspend your account at any time, with or without cause, with or without notice. Upon termination, your right to use the Service will immediately cease. Unused buyer credits stay subject to the 12-month validity and Cancellation and Refunds rules. Earned creator balance can still be requested under the payout rules in section 4, unless we must withhold it for fraud or as required by law.

10. Changes to Terms

We reserve the right to modify these terms at any time. We will notify users of significant changes via email or through the Service. Continued use after changes constitutes acceptance.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any disputes shall be subject to the exclusive jurisdiction of the courts in Delhi, India.
